Sumario:This work seeks to analyze the implications of the fact that our Business Companies Act No. 16,060, in its section 365, expressly provides the contravention of corporate interest as a cause for challenging Shareholders’ Meetings. To this end, we offer a brief review of the theories that academic scholars have written regarding the content of corporate interest, we analyze whether there is a legal definition of this concept in our law, and finally, we ask ourselves about what it implies, what are the consequences of it being included as a ground for challenging Meetings.
