Also to discuss the applicability of American law criteria in Uruguayan law in the light of the draft reform of the Commercial Companies Act, and finally to propose a sort of "two-step test" at the court level for the review of the liability of company directors. The article will also study the divergences between the regime of judicial review and the conduct of company directors. |

También de discutir la aplicabilidad de los criterios del Derecho Americano en el Derecho Uruguayo a la luz del proyecto de reforma de la Ley de Sociedades Comerciales, y proponer una suerte de “test de dos pasos” a nivel judicial para la revisión de la responsabilidad de los administradores societarios. Asimismo, será objeto del artículo el estudio de las divergencias entre el régimen de revisión judicial y de comportamiento de los administradores societarios. |
